Terms of Service

1. Acceptance of Terms

By accessing or using any service operated by Stablique SAS ("Stablique", "we", "us"), including the Stablique Console, Switch, and the Stablique API (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

2. Description of Services

Stablique operates a settlement infrastructure platform for financial institutions. Our Services include:

• Switch – a domestic USD settlement layer for interbank settlement instructions in the DRC
• Stablique API – a stablecoin-settled payments API for fintechs and merchants
• Console – a web-based dashboard for managing accounts, transactions, and configurations

3. Eligibility

The Services are available to licensed financial institutions, registered businesses, and their authorised representatives. You must complete the applicable onboarding and identity verification (KYC/KYB) process before accessing production Services.

4. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and API keys. You must notify us immediately at security@stablique.xyz if you suspect unauthorised access to your account. We are not liable for losses arising from unauthorised use of your credentials.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable regulation
• Attempt to gain unauthorised access to any part of the Services or their infrastructure
• Interfere with or disrupt the integrity or performance of the Services
• Reverse-engineer, decompile, or disassemble any part of the Services
• Use the Services to facilitate money laundering, terrorist financing, or sanctions evasion

6. Fees and Payments

Fees for the Services are set out in your commercial agreement with Stablique. Unless otherwise agreed, fees include on-ramp and off-ramp fees (basis points on mint/burn), settlement instruction fees, and FX spread on cross-currency corridors. We reserve the right to update fees with 30 days' written notice.

7. Settlement Finality

Settlement instructions submitted through Switch are final and irrevocable once they reach "settled" status on the network. Stablique does not guarantee settlement of instructions that fail compliance checks or lack sufficient funding.

8. Service Availability

We aim to provide high availability but do not guarantee uninterrupted access. We may suspend or limit the Services for maintenance, upgrades, or security incidents. We will provide reasonable advance notice of planned downtime where possible.

9. Limitation of Liability

To the maximum extent permitted by law, Stablique shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the Services. Our total liability for direct damages shall not exceed the fees paid by you in the twelve months preceding the claim.

10. Intellectual Property

All rights, title, and interest in the Services, including software, documentation, trademarks, and content, remain the property of Stablique. You are granted a limited, non-exclusive, non-transferable licence to use the Services in accordance with these terms.

11. Termination

Either party may terminate the relationship with 30 days' written notice. We may immediately suspend or terminate your access if you breach these terms or if required by law. Upon termination, your right to use the Services ceases, but data retention obligations described in our Privacy Policy continue to apply.

12. Governing Law

These terms are governed by the laws of the Democratic Republic of the Congo. Any disputes arising under these terms shall be resolved through binding arbitration in Kinshasa, DRC.

13. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via email or a notice on the Console at least 30 days before they take effect. Continued use of the Services after changes constitutes acceptance of the updated terms.
